Abstract

A corporate governance framework comprises a set of rules, practices, and processes that define how a company is governed.. The cases discussed in this study help analyze the set back and best practices required from learnings through set back of scams in India during last decade. PNB employees misused the SWIFT network to transmit messages to Allahabad Bank and Axis Bank on fund requirement. While all this was done using SWIFT passwords, the transactions were never recorded in the bank’s core system — as a result the PNB management was not aware of the malpractices. It is important that companies/organizations strive to follow good corporate governance practices. Analysis of Kingfisher’s Scam Case, a stark reminder of the vulnerabilities within financial systems and the pressing need for stronger corporate governance and regulatory mechanisms. PMC Bank Crisis investigation over alleged irregularities in certain loan accounts indicate non-compliance of ethical practices and case for forgery, cheating and criminal conspiracy. A robust corporate governance framework is not merely a regulatory formality but a fundamental component ensuring an organization’s longevity and success. Implementing corporate governance practices isn’t a one-and-done deal. It’s an ongoing process that requires regular evaluation and improvement.
